The General Manager will not <br />' become employed by any other private or public employer, except a <br />successor to the District, without consent of the Board. As used <br />1 in this paragraph, the term "employed" shall not be construed to <br />prevent occasional teaching, writing or consulting work, or <br />' employment which does not interfere with the General N-anager's <br />, ability to effectively discharge his assigned duties and <br />responsibilities, or any activity engaged in with the prior written <br />~ approval of the Board of Directors. <br />4. Termination and Severance. <br />' , a. Termination Without Cause. This Agreement <br />' may be terminated effective on the date determined by the Board of <br />Directors upon a majority vote of the Board of Directors, or by the <br />' General Manager for any reason whatsoever. Nothing in this section <br />prevents the Board of Directors from suspending the General <br />' Manager, without pay or benefits, as authorized by ORS 267.135. <br />~ b. Termination For Cause. This Agreement may be <br />terminated immediately in the sole discretion of the District if <br />~ the General Manager shall be guilty of fraud, dishonesty, <br />misappropriation of funds, embezzlement, or other act of misconduct <br />~ in the rendering of the services on behalf of the District, or if <br />1 the General Manager willfully and continuously fails or refuses to <br />comply with the policies, standards and regulations of the District <br />~ as are established periodically. . <br />Page d <br />~ - <br />~ <br />
