LEEDTM Pilot Program <br />Memorandum of Understanding <br />between <br />U.S. Green Building Council <br />~ <br />LEEDTM Pilot Partner <br />I. Common Agreements and Principles <br />A. This Memorandum of Understanding ("MOU") is a voluntary agreement between the U.S. <br />Green Building Council ("USGBC") and the LEEDTM Pilot Partaer ("the Partner"), by which the <br />Partner participates in the LEEDTM Pilot Program ("the Program"). <br />B. USGBC and the Partner agree that the primary purpose of the Pmgram is to encourage U.S. <br />building owners and developers to adopt a green building approach, in order to sustain site <br />ecology, improve energy effciency, safeguard water, enhance indoor environments, and conserve <br />materials. The Program will evaluate and fine-tune the LEED Green Building Rating SystemTM <br />under development by USGBC, by measuring actual projects against the ra.ting system and <br />assessing the usability of the system and its tools. The Program will include both built projects <br />and those still in the design phase. <br />C. USGBC and the Partner agree that the design and installation of green building features can <br />improve economic and environmental performance. The Partnei"s participation in and <br />commitment to the Program demonsfrates the Partner's concern for the environment and the <br />vitality of the free enteiprise system in reducing costs and achieving environmental goals without <br />governmental regulation. <br />D. USGBC and the Parlner agree that maintauung }~ublic confidence in the credibility of the <br />LEED Green Building Rating SystemTM is critical to achieving the principles stated above. . <br />E. Covenant Not to Sue: The architect, engineer, a11 other design professionals, and the building <br />owner hereby (1) agree and covenant not to sue, and (2) waive and release from any and all <br />claims, demands, and causes of action, the U.S. Green Building Council, its staff, officers, and <br />Members, from any injury to individuals or property, and from any and all financial loss or <br />economic damages sustained from any and all activities arising from or relating to the LEED Pilot <br />activity and this MOU. <br />
