~ standing instructions and customary practices, as is the case with securities held for the accounts of customers in bearer <br />form or registered in "street name," and will be the responsibility of such DTC Participant and not of DTC, the <br />Registrar/Paying Agent, or tiie Counr~. subject to an~ sta;utory or regulatory requirements as may oe in effect from <br />time to time. Payment of principal and interest to DTC is tiie responsibility of the Cou~ity or tha Registra~~/Payina <br />Agent, disbursement of such payments to Direct Participants shall be the responsibility of DTC, and disbursement of <br />such payments to the Beneficial Owners shall be the responsibility of Direct and Indirect Participants. <br />DTC may discontinue providing its services as securities depository with respect to the Certificates at any time by <br />giving reasonable notice to the County or the Registrar/Paying Agent, and dischazging its responsibilities with <br />respect thereto. Under such circumstances, in the event that a successor depository is not obtained, Certificates are <br />required to be printed and delivered. <br />The County may decide to discontinue use of the system of book-entry transfers through DTC (or a successor <br />securities depository). In such event, Certificates will be printed and delivered. <br />The information in this section concerning DTC and DTC's book-entry system has been obtained from sources that <br />the County believes to be reliable, but the County takes no responsibility for the accuracy thereof. <br />THE COURTHOUSE SQUARE PROJECT <br />History'of Courthouse Square Project <br />In the middle 1970s, the Marion County Board of Commissioners began purchasing land and buildings on the block <br />north of the County courthouse (the "Site"). The Site, commonly known as"the Senator Block" for the old Senator <br />~ Hotel which was its main building, is bounded by Chemeketa, Church, Court and High Streets in downtown Salem, <br />Oregon (the "City"). T'he long-term goal was to consolidate County services near the courthouse as more County <br />services for citizens were forced out of the existing courthouse because of growth in population in the County and <br />the needs of the court system. <br />Also during the 1970s, the City was developing a downtown master plan for growth. The City, which was then <br />operating the Cherriots bus system as a municipal service, selected the same block being acquired by the County as <br />the preferred site for a bus terminal in that master plan (1978 Downtown Master Plan). Over the years, additional <br />studies commissioned by the Salem Area Mass Transit District (the "District"), which was formed as a separate <br />District to take over operation of the bus system, and by the Counry validated the County's need for consolidation of <br />services, the transit system's need for a bus terminal and the selection of the Senator Block as the best site for these <br />uses. <br />In 1985, the District drew the first plans to utilize the Senator Block for the transit center. In 1995, a citizen's site <br />selection committee of 23 persons surveyed 14 potential locations, studied three sites in detail and confirmed the <br />desirability of the Senator Block for the transit center. The District is under an obligation to the City to move the bus <br />hub off High Street where it currently impedes tra~c and reduces parking space. <br />In 1995, a proposal to build Courthouse Square was presented at a joint meeting of the Salem City Council, the <br />County's Board of Commissioners and the District. The proposal was accepted and in 1996, the County issued a <br />request for proposals to redevelop the Senator Block to include County and transit offices, a bus mall and retail <br />space. <br />In 1996, a 10-member review panel conducted interviews with the two groups which responded to the request for <br />proposal with qualified proposals. The review panel included community members and representatives of the City, <br />the County and the District, the Salem Area Chamber of Commerce, and the Salem Downtown Association.
