Page 3 <br />Unless specifically included elsewhere in this contrart, the <br />following items ~re not inclucled~ zoning cl~anges= cade and zoning <br />variances or appeals; security~ telephone~ T.V.~ and other low <br />voltaqe lines or equipment; kiosk equipment; signage and direction <br />or lane control signs; built-ins and fixtures; landscaping. <br />However. the contractor~ in the course of construction~ will <br />coordinate the above items to be sure all are pertormed on a timely <br />basis. <br />The contractor shall be responsible for the complete release of all <br />financial responsibilities and/or liens arising out of the scope of <br />this agreement that w~re not in any way purchasor created. <br />In the event of parties' inability to agree upon any and all parts <br />r~ncl provie~ions of thid ~gre~emeiit~ tliey e~gree td eubmit tt~e isr~ue(e) <br />to arbitration for resolution. In that event. each party shall <br />name one arbitrator; the two arhitr~tors shall agree on a third and <br />the panel shall decide the issue using rules of ttze American <br />Arbitration Assn. It is the intent of the parties to keep issues <br />of this nature at a minimum and that such decisions shall be made <br />not more than 10 days from the date of notification of impasse by <br />either party. <br />The total price for fi.he project as drawn and proposed is $36.290. <br />The down payment for construction shall be $12.000. A second <br />in~tallment of $12,000 to be made when painting is completed. <br />Final payment shall be made within 10 days of substantial <br />completion of the project. <br />Amendments or additions to this agreement shall be made on written <br />change orders and at actual rost plus 15%. Change orders shall be <br />paid for in the pay period in which they occur. <br />The agreement amount shall be fixed with respect to the conditions <br />listed on the written pro~osal~ and 1s to the flooring as provided <br />hy Herb Peterson and accepted by Jim Eberle.
