~ ~ <br />including whether or not such violation of such Applicable Law, or the application thereof to the <br />Project or Owner, should be contested. Unless Owner shall elect to contest such violation or <br />Applicable Law, Manager shall work with the architect to advise Owner as to such steps as are <br />necessary to correct such violation or as are otherwise required to comply with Applicable Laws. <br />If Owner elects to contest such violation of Applicable Law, Manager shall assist Owner in such <br />contest and shall observe and consult with any professionai advisers retained to conduct such <br />contest. Nothing herein shall be construed to require or permit Manager to fail to cure promptly <br />any such violation or fail to comply promptly with any such Applicable Law, if such failure <br />would or might expose Manager or Owner to any criminal liability. <br />7.3 Impositions <br />Manager shall forward to Owner, for payment, all Impositions. Manager shall <br />receive and review bills or statements ~or all Impositions and shall furnish receipted copies of <br />such bills and statements to Owner. Manager shall also advise Owner (a) of any material <br />increase in any Imposition, (b) whether the amoiuit of any Imposition should be challenged, and <br />(c) the means available for obtaining a reduction of the same, together with its recommendations <br />as to the course of action to be pursued. If Owner shall so request, Manager shall institute <br />appropriate protests or challenges to the Imposition or take such other appropriate steps to obtain <br />a reduction of the same. All linpositions and any expenses of Manager reasonably incurred in <br />contesting the same or otherwise seeking a reduction thereof, including legal, professional, <br />appraisal, and accounting fees, if required, shall be expenses of the Project, chargeable to Owner. <br />7.4 Insnection <br />As necPSSary or appropriate, or when reasonably requested by Owner, Manager <br />shall make physical inspections of the Project and work with the architect and the general <br />contractor to make recommendations to Owner regarding maintenance or conservation work <br />which may be necessary or appropriate to preserve or improve the value and profitability thereof. <br />Manager shall notify Owner, promptly after Manager receives notice thereof, of any substantial <br />damage to the Project or any personal injury or properiy damage suffered or claimed to have <br />been suffered by any person on or with respect to the Project and Manager's recommendations <br />with respect thereto. Manager shall forward to Owner all summonses, subpoenas, and other like <br />legal documents served upon Manager relating to actual or alleged liability of Owner, Manager, <br />or the Project, together with its recommendations with respect thereto. <br />7.5 Public Reports <br />Manager shall assist Owner when requested in the preparation of reports as <br />required by Applicable Laws. All fees and charges required to be paid in connection with such <br />reports, including the fees and disbursement~ in connection with such reports, including the fees <br />and disbursements of professional advisors related thereto, shall be an expense of the Project, <br />chargeable to Owner. <br />10 o~as~9o.o~ <br />
