PROJECT COST REQUISITION CERTIFICATE <br />~ <br />a <br />5 TO: l~Ior~vest Ban~ 1Vli~nesQta, ~I.A:, Trustee <br />6 _ _ <br />7 FROM: Marion County, Oregon (the "County~") <br />8 <br />9 SUBJECT: $22,000,000 Certificates of Participation (Courthouse Square Project), 1998 <br />~ ~ Series A <br />ll <br />12 <br />13 <br />1~ This represents Project Cost Requisition Certificate No. in the total amount of <br />~~ $ to pay those costs of the 1997 Projects detailed in the schedule attached. All terms <br />I6 used herein and not otherwise defined herein shall have the respective meanings assigned thereto <br />~ 7 in the Financing and Trust Agreement dated as of December 1, 1998 between Marion County, <br />18 Oregon (the "County") and the above-named Trustee. <br />19 <br />3o The undersigned does certify that: <br />~~ <br />'? 1. The eYpenditlires for which moneys are requisitioned hereby are to pay the County's Share <br />23 of tlie Courthouse Square Project and represent proper charges against the Project Fund, <br />2~ have not been included in a previous requisition and have been properly recorded on the <br />?~ County's books. The expenditures for which moneys are hereby requisitioned are set forth <br />26 in tlie schedule attached hereto. <br />~~ <br />28 2. The moneys requisitioned hereby are not greater than those necessary to meet obligations <br />?9 due and payable or to reimburse the County for its funds actually advanced for the <br />3o County's Share of the Courthouse Square Project and do not represent a reimbursement <br />31 to the County for working capital. <br />32 <br />33 3. The County is not in default under the Agreement and nothing has occurred to the <br />34 knowledge of the County that would prevent the performance of its obligations under the <br />3~ Agreement. <br />36 <br />37 5.
