All terms <br />used herein and not othervvise definal herein shall have the respective meanings assigned thereto <br />in the Financing and Trust Agreement dated as of December 1, 1998 between Marion County, <br />Oregon (the "County") and the above-namal trustee. ~ <br />The undersigned does certify that: <br />1• The expenditures for which moneys are requisitioned hereby are to pay the <br />County's Shaze of the Courthouse Square Project and represent proper chazges <br />against the Project Fund, have not been included in a previous requisition and <br />have been properly recorded on the County's books. The expenditures for which <br />moneys are hereby requisitioned are set forth in the schedule attached hereto. <br />2. The moneys requisitioned hereby aze not greater than those necessary to meet <br />obligations due and payable or to reimburse the County for its funds actually <br />advanced for the Cotmty's Share of the Courthouse Square Project and do not <br />represent a reimbursement to the County for working capital, <br />3• The County is not in default under the Agreement and nothing has occurred to the <br />knowledge of the County that v~,ould prevent the performance of its obligations <br />under the Agreement. <br />4• All of the funds being requisiYioned aze being used in compliance with the Ta.x <br />Covenants. <br />Executed this 29~ day of October, 1999 <br />MARION COUNTY, OREGON <br />By _ <br />Au orized County Representative <br />
