OFFICIAL STATEMENT <br />$22,000,000* <br />Certificates of Participation <br />(Courthouse Square Project) <br />1998 Series A <br />Evidencing Direct, Fractional Undivided Interest in the 1998 Financing Payments to be made pursuant to the <br />Financing and Trust Agreement described herein by <br />MARION COUNTY, OREGON <br />The information provided in this section will not be provided annually to the NRMSIRs and SIDs, <br />if any. See the section entitled "Annual Disclosure Information"for the materia! <br />which will be submitted annually. <br />INTRODUCTION <br />The purpose of this Official Statement, which includes the cover page and appendices heretq is to provide certain <br />information pertaining to the sale and delivery of the Certificates of Participation (Courthouse Square Project) 1998 <br />Series A(the "1998 Certificates") evidencing direct, fractional undivided interests of registered owners (the " Owners") <br />thereof in the 1998 Financing Payments to be made by Marion County, Oregon (the "County") pursuant to a Financing <br />and Trust Agreement, dated as of December 1, 1998, (the "Agreement") by and between the County and Norwest Bank ~ <br />Minnesota, National Association, Minneapolis, Minnesota, as Trustee (the "Trustee"). <br />Capitalized words and phrases used in this Official Statement and not otherwise defined herein have the respective <br />meanings assigned thereto in Appendi~c A to this Official Statement. Brief descriptions and summaries of, and <br />information relating to, the 1998 Certificates, the County, the Agreement and the Mortgage are induded in this Official <br />Statement. Such descriptions, summaries and information do not purport to be complete and reference is made to the <br />Agreement and the Mortgage for full and complete statements of their provisions. See "Appendix A: Summary of <br />Certain Provisions of the Financing and Trust Agreement" for a summary of the Agreement and the Mortgage. <br />All references to the Certificates, the Agreement and the Mortgage or the terms or provisions of any of the <br />foregoing are qualified by reference to such documents in their entirety. <br />THE 1998 CERTIFICATES <br />General Description <br />The 1998 Certificates are being executed and delivered by the Trustee pursuant to the Agreement evidencing aggregate <br />principal components of the 1998 Financing Payments in the amount of $22,000,000*'. T'he principal components <br />evidenced by the 1998 Certificates are due on the dates and in the amounts, all as set forth on the inside cover hereof. <br />The interest components evidenced by the 1998 Certificates will be calculated from December I, 1998, at the rates per <br />annum set forth on the cover hereof, payable semiannually on June 1 and December 1 of each year, commencing June <br />1, 1999. <br />* Preliminary, subject to change <br />~ <br />
