~ <br />2 <br />3 <br />4 <br />5 <br />6 <br />7 <br />8 <br />9 <br />10 <br />11 <br />12 <br />13 <br />14 <br />15 <br />16 <br />17 <br />18 <br />19 <br />20 <br />'1 <br />2 <br />23 <br />24 <br />25 <br />26 <br />27 <br />28 <br />29 <br />30 <br />31 <br />32 <br />33 <br />34 <br />35 <br />36 <br />37 <br />38 <br />39 <br />40 <br />"AcT" means ORS 271.390, as in effect on the date of execution and <br />Certificates. <br />"ADDITIONAL CERTIFICATES" means any Certificates of Participa~ <br />delivered by the Trustee pursuant to and in accordance with the provisions of <br />Agreement. <br />"AGx~E1v~ENT" means the Financing and Trust Agreement dated as of <br />between the County and the Trustee, together with any Supplemental Agreeme <br />of the 1998 <br />executed and <br />'.on 208 of the <br />l, 1998 <br />`~ALTERNATE INSURANCE POLICY" shall mean a letter of credit, a municip bond insurance <br />policy, a surety bond, standby bond purchase agreement or other credit enhancem nt device given, <br />issued or posted as security for one or more series of Certificates or any Certifica es of a series in <br />substitution for a Insurance Policy theretofore in effect and meeting the applicable requirements of <br />Section 804 of the Agreement. <br />"APPROPRIATED FINANCING PAYMENTS" means any Financing <br />(1) scheduled to be due and payable under the Agreement in a partic~lar Fiscal Year; <br />and I <br />(2) for which the County has duly budgeted and appropriated, in ccordance with <br />applicable law, funds sufficient to pay such Financing Payments. <br />"ATTORNEYS' FEES" means the reasonable attorneys' fees and expenses incurred by the <br />Trustee in connection with: <br />(1) the performance of its obligations, or the enforcement of its r ghts, under the <br />Agreement, the Mortgage or any other document, instrument or agreement ertaining to the <br />Certificates or the transactions contemplated by the Agreement; , <br />(2) the defense or prosecution of any pending or threatened proceedi brought under <br />or in connection with the Agreement, the Mortgage or any other docume , instrument or <br />agreement pertaining to the Certificates or the transactions contemplated by , he Agreement; <br />(3) the negotiation or settlement of any claim or dispute arisin under, or the <br />interpretation or amendment of any provision of, or advice as to a pe son's rights or <br />obligations under, the Agreement, the Mortgage or any other document instrument or <br />agreement pertaining to the Certificates or the transactions contemplated by he Agreement; <br />DEFINITIONS APPENDIX <br />PAGE 1 <br />
