Unless otherwise provided in a Supplemental greement with <br />respect to a particular Series of Certificates, the Trustee shall be the paying agent nd registrar for <br />3 all Certificates issued hereunder. <br />4 <br />5 (B) DUTIES AND RESPONSIBILITIES OF TRUSTEE. The Trustee shall have t e duties, rights <br />6 and responsibilities set forth herein and in any Supplemental Agreement. Unless oth rwise provided <br />7 in a Supplemental Agreement with respect to a particular Series of Certificates, the rustee shall be <br />8 the paying agent and registrar for all Certificates issued hereunder. The Trust e will also be <br />9 responsible for issuing all Certificates hereunder and under any Supplemental Agr ement. <br />lo <br />11 Any recitals of fact herein, in any Supplemental Agreement and in the Certi cates contained <br />12 shall be taken as the statements of the County and the Trustee does not assume any r sponsibility for <br />13 the correctness of the same. The Trustee does not make any representations as t the validity or <br />14 sufficiency of this Agreement or any Supplemental Agreement issued thereunder or to the security <br />15 afforded by this Agreement or any Supplemental Agreement, and the Trustee sh 11 not incur any <br />16 liability in respect thereof. The Trustee shall, however, be responsible for dul executing and <br />17 delivering all Certificates in accordance with the terms of this Agreement and an Supplemental <br />1 s Agreement. The Trustee shall not be under any responsibility or duty with respect t the application <br />19 of any moneys paid by the Trustee in accordance with the provisions of this A reement or any <br />20 Supplemental Agreement to any other person. Except as may otherwise be provid d herein and in <br />21 any Supplemental Agreement, the Trustee shall not be under any obligation or dut to perform any <br />?2 <br />~ act which would involve it in any expense or liability or to institute or defend an ~ suit in respect <br />3 thereof, or to advance any of its own moneys, unless properly indemnified. <br />24 <br />25 ~C~ STANDARD OF CARE. Except as provided below in this Section 907(C), he Trustee shall <br />26 not be liable in connection with the performance of its duties hereunder exc pt for its own <br />27 negligence, misconduct or default. <br />28 <br />29 The Trustee, prior to the occurrence of an Event of Default and after the curi g of all Events <br />30 of Default which may have occurred, undertakes to perform such duties and only s ch duties as are <br />31 specifically set forth in this Agreement. In case an Event of Default has occurre (which has not <br />32 been cured) or in the case a Nonappropriation Event has occurred, the Trustee shall xercise such of <br />33 the rights and powers vested in it by this Agreement and any applicable Suppleme tal Agreement, <br />34 and use the same degree of care and skill in their exercise, as a prudent person woul exercise or use <br />35 under the circumstances in the conduct of her own affairs. <br />36 <br />37 <br />38 (D~ EVIDENCE ON WHICH TRUSTEE MAY ACT. The Trustee, upon rece~ t of any notice <br />39 resolution, request, consent, order, certificate, report, opinion, certificate, or other pa er or document <br />4o furnished to it pursuant to any provision of this Agreement or any Supplemental greement, shall <br />41 examine such instrument to determine whether it conforms to the requirements o this Agreement <br />42 or the applicable provisions of a Supplemental Agreement and shall be protected in cting upon any <br />~ <br />FINANCING AND TRUST AGREEMENT <br />PAGE $4 <br />
