If, during the period ending on the earlier of 90 <br />days (or 25 days if the ~ie~i~Underwriters sends a copy of the Official Statement to a <br />nationally-recognized municipal securities information repository) following the date of this <br />Purchase Contract or the date on which the ~~~e~Underwriters shall have completed the <br />distribution and delivery to the public of all of the 1998 Certificates (the "Distribution Period"), any <br />event affecting the County shall occur which results in the Official Statement containing any untrue <br />statement of a material fact or omitting to state a material fact necessary to make the statements and <br />information therein contained, in the light of the circumstances under which they were made, not <br />misleading, the County will notify the Underwriters, and if in the opinion of the Business Director <br />of the County and the Underwriters such event requires a supplement or amendment to the Official I <br />Statement, the County at its expense will supplement or amend the Official Statement in a form and <br />in a manner approved in writing by the Under~mters and counsel to the Underwriters. I <br />~8. Expenses. <br />(A) The ~~~Underwriters shall be under no obligation to pay, and the <br />County shall pay, all expenses incident to the performance of the obligations of the County <br />~-- hereunder, including, but not limited to: (1) the cost of the preparation and authentication of the <br />1998 Certificates; (2) the fees and disbursements of any consultants, advisors or counsel retained by <br />the County; (3) the fees, if any, for ratings of any of the 1998 Certificates; (4) the premium for the <br />bond insurance described in the Official Statement; and (5) the cost of preparation, typesetting, <br />printing and distribution of the Preliminary Official Statement and the Official Statement. <br />(B) The ~~~er~e~Underwriters shall pay (1) all advertising expenses in <br />connection with the offering of the 1998 Certificates; (2) all expenses relating to "blue sky" <br />registration; and (3) all other expenses incurred by the L-~~e~Underwriters in connection with <br />the 1998 Certificates including the fees and disbursements of counsel retained by the <br />L~ier~~Underwriters. Notwithstanding any payments made by the L-~~e~Underwriters to <br />any consultants, advisors or counsel retained by the County, such consultants, advisors or counsel <br />shall for all purposes be considered agents or representatives of the County. <br />~99. Notices. Any notice or other communication to be given to the County or the <br />Trustee under this Purchase Contract shall be given by delivering the same in writing to their <br />resnective addresses ~s-~es~set forth above . , and any notice or other <br />communication to be given to the ~~e~e~Underwriters shall be given by delivering the same in <br />writing to the i~~Underwriters at 1201 Third Avenue, Suite 5350, Seattle, Washington <br />98101. <br />~10. Effectiveness; Amendments; Survival of Representations.
