6. Conditions to the Obligations of the ~~Underwriters. The Underwriters has entered into this Purchase Contract in reliance upon the representations and warranties of the County and the Trustee contained herein, and upon the representations and warranties of the County and the Trustee to be contained in the Closing Documents and the performance by the County and the Trustee of ~s-their respective obligations hereunder, both as of the date hereof and as of the date of the Closing. The Undervvriter's obligations under this Purchase Contract are and shall be subject to the performance by the County and the Trustee of their respective ~s~-obligations to be performed hereunder and under the Closing Documents, at or prior to the Closing, and shail also be subject to the following conditions: (A) The representations and warranties of the Countv and the Trustee contained I herein shall be true, complete and correct in all material respects at the date hereof and as of the time of the Closing, as if made on and as of the time of the Closing. (B) At the time of the Closing, the Official Statement shall not have been amended, modified or supplemented, except in such manner as may have been agreed to in writing by the i~~Undervvriters. (C) After the acceptance hereof by the County and the Trustee and prior to the Closing, the Underwriters shall have the right in its absolute discretion to terminate the Underwriter's obligations under this Purchase Contract to purchase, to accept delivery of and to pay for the 1998 Certificates by notifying the County of its election to do so (as evidenced by a written notice to the County) if, in the opinion of the ~~~er~e~Underwriters, any of the following shall have occurred: (1) a statement made by a responsible member of Congress, legislation introduced in, enacted by or favorably reported to either the House of Representatives or the Senate of the United C.w:c~ ~: recommended for passage by the President of the United States, or a decision rendered by a court established under Article III of the Constitution of the United States or by the Ta~c Court of the United States, or an order, ruling, regulation or official statement (final, temporary or proposed) issued or made (i) by or on behalf of the Treasury Department of the United States or the Internal Revenue Service, with the purpose or effect, directly or indirectly, of imposing federal income ta~cation upon revenues of the County or upon such interest as would be received by the owners of the 1998 Certificates, or (ii) by or on behalf of the Securities andI Exchange Commission, or any other governmental agency having jurisdiction of the subject matter, to the effect that obligations of the general character of the 1998 Certificates, or the I 1998 Certificates, including any or all underlying arrangements or bond insurance, aze not exempt from registration under, or other requirements of, the Trust Indenture Act of 1939, as amended, or that the issuance, offering or sale of obligations of the general character of the 1998 Certificates, or ~, the 1998 Certificates, including any or all underlying arrangements or bond insurance, as ~ contemplated hereby or by the Official Statement, otherwise is or would be in violation of the -O- J~.\KEI\Pru-BacheVvlarion CountylBPA.doc
