condominium unit shall be effective without the written consent of each mortgagee ho~lding a mortgage
<br />with respect to the leasehold estate pertaining to such condominium unit. In the event f any arbitration
<br />~ under this Lease, any mortgage of any portion of the Premises affected by such ar itration who has
<br />requested notices as provided in this section shall receive notice of such arbitration and s all be entitled to
<br />intervene in the proceedings. ,
<br />Section 24. Transfer of Interest by Lessor !,
<br />Lessor may sell, exchange, assign, transfer, convey, contribute, distribute, or ot~erwise dispose of
<br />all or any part of its interest (called "Lessor's Interest") in the Premises or this Lease ( ncluding but not
<br />limited to Lessor's reversion). ,
<br />Section 25. Lessor's Right to Encumber ,
<br />Lessor, during the Term, may encumber, mortgage, pledge, or otherwise h}}pothecate its fee
<br />simple interest in the Premises. ,~
<br />Section 26. Nonmerger I
<br />There shall be no merger of this Lease, or of the leasehold estate created by th s Lease, with the
<br />fee estate in the Premises by reason of the fact that this Lease, the leasehold estate created by this Lease, or
<br />any interest in this Lease or in any such leasehold estate, may be held, directly or indire tly, by or for the
<br />account of any person who shall own the fee estate in the Premises or any interest in such ee estate, and no
<br />such merger shall occur unless and until all persons at the time having an interest in th fee estate in the
<br />Premises and all persons having an interest in this Lease, or in the leasehold estate crea d by this Lease,
<br />shall join in a written instrument effecting such merger and shall duly record the same. ,
<br />Section 27. Quiet Enjoyment '
<br />Lessee, on paying the Rent and observing and keeping all covenants, agreemen s, and conditions
<br />of this Lease on its part to be kept, shall quietly have and enjoy the Premises during he Term without
<br />hindrance or molestation by anyone claiming by, through, or under Lessor as such, subjec , however, to the
<br />exceptions, reservations, and conditions of this Lease. '
<br />~ Section 28. Surrender I~
<br />28.1 Except as otherwise provided, Lessee, on the last day of the Term, s~all surrender and
<br />deliver up the Premises and all Improvements to the possession and use of Lessor witho t fraud or delay,
<br />free and clear of all lettings and occupancies other than subleases then terminable at the o tion of Lessor or
<br />subleases to which Lessor shall have specifically consented, and free and clear f all liens and
<br />encumbrances other than those, if any, presently existing or created or suffered by Le sor, without any
<br />payment or allowance whatever by Lessor on account of any Improvements on the Premis s.
<br />28.2 When furnished by or at the expense of Lessee or any sublessee, furnit re, trade fixtures,
<br />and personal property (exclusive of fixtures, machinery or equipment providing utilities o systems used by
<br />occupants of the Building) may be removed by Lessee at or before this Lease ter inates, provided,
<br />however, that the removal will not injure the Premises or the Improvements or necessit te changes in or
<br />repairs to the same. Lessee shall pay or cause to be paid to Lessor the cost of repairing a y damage arising
<br />from such removal and restoration of the Premises and/or the Improvements to their con ition before such
<br />removal. ,
<br />28.3 Any personal property of Lessee or any sublessee that shall remain on
<br />the termination of this Lease and the removal of Lessee or such sublessee from the Pre
<br />option of Lessor, be deemed to have been abandoned by Lessee or such sublessee a
<br />retained by Lessor as its property or be disposed of, without accountability, in such man~
<br />see ~t, or if Lessor gives written notice to Lessee to such effect, such property shall be re~r
<br />Lessee's sole cost and expense. If this Lease terminates early for any reason other tr
