Ethics, the Oregon Conflict of Interest law and (to the same extent as <br />if a Director of the Salem Area Mass Transit District) to the code of <br />ethics adopted by the Salem Area Mass Transit District. <br />Functions of the Committee: <br />The Committee shall consult with and advise the Courthouse <br />Square Joint Coordinating Teami (Coordinating Team) and both <br />Boards on matters referred to them relating to Courthouse Square <br />Issues. "Courthouse Square Issues" shall mean matters relating to <br />the Courthouse Square praject budget, proformas, cash-flow <br />~ projections, project schedule, value engineering, constructability <br />analysis, and, additionally, any other matters and issues relating to <br />the financi.ng, budgeting, and construction of the Courthouse Square <br />project as may be clearly and explicitly described in writing by both <br />Boards or the Coordinating Team. However, notwithstand~g the <br />foregoing, all political and public policy :ssues and considerations shall <br />remai.n the exclusive responsibility of the Boards. The Coordinating <br />Team ahall keep the Committee informed on matters relating to the <br />Courthouse Square Issues. <br />The Committee shall provide its advice, on matters referred to it, in <br />writing (Committee meeting minutes shall meet this requirement). On <br />issues for which the Committee and Coordinating Team do not concur, <br />the respective Boazds shall be briefed on the issues involved and shall <br />give direction to the Coordinati.ng Team and i.nform the Committee of <br />their action on those issues. The Committee may communicate with <br />the Project Coordinators and/or the Board Liaisons of both Boards at <br />any time regarding matters relating to the Courthouse Square Issues, <br />and shall make reports to the respective Boards as they deem <br />appropriate. <br />Meetings of the Committee: <br />Z`he Committee shall meet monthly with the Coordinating Team or as <br />otherwise needed, at the call of either Board, the Coordinati.ng Team, <br />or at the call of any ~our members of the Committee. A quorum <br />{~j ~ of the Committee must be present at any meeting to consider <br />any matter before the Committee and provide advice. <br />Term: It is the intention of both Boards that the Committee be dissolved no <br />later than substantial completion of construction on Courthouse <br />Square. <br />1 The Ch2 Joint Coordinating Team is a committee composed of key internal etaff members from <br />Marion County and Salem Area Transit; Melvin Mark Co., and Board Liaisons who shall meet ~ <br />regularly to collaborate on key technical and policy issues regarding Courthouse Square. <br />Ch2 Citizen Advisory Comuuttee Charter <br />05/O1/98 <br />2 <br />
