.. <br />~~,,, .~.~ <br />Attachment A <br />Scope of Advisor Services <br />Courthouse Square Project <br />Service Providers Gardiner & Clancy L L C and R S Clements & Associates(Contractor) <br />The following scope of services will be provided by the contractor to Marion County over the duration <br />of the contract: <br />Financial Plan Development <br />- Assist the County in developing the most advantageous plan of finance for the Courthouse <br />Square project, the Public Works facility and other related credits. <br />- Assist the County and Transit District in presenting the feasibility of the financing plan to the <br />FTA <br />Development Agreement Technical Assistance <br />- Assist the County in developing business terms for the Development Agreement with the <br />proposed developer of the Courthouse Square project. <br />- Review proposed changes to the business terms of the Development Agreement for their impact <br />on County finances and on the financing of the County's portion of the project. <br />Financing Team Management <br />- Assist the Counry in securing services of those professionals or entities necessary for a <br />successful County COP financing Program, including but not limited to bond counsel and <br />underwriters. <br />- Assist the County in managing the interaction among the various financing team members on <br />both the public & private portions of the project. <br />Credit Market Relations <br />- Assist the County, along with other members of the financing team, in developing and <br />implementing a credit market strategy for the County's COP program and the Courthouse Square <br />project. <br />COP Issuance Technical Assistance <br />- Provide Financial Advisor_y services to the County related to the issuance of one or mare series <br />of COPs, such services to include: <br />- Review & comment on resolutions and disclosure documents <br />- Coordination with the underwriter on the calendar and logistics for the sale <br />- Advise the County on terms and conditions appropriate to the structure required for a successful <br />and financiaily feasible financing <br />- Advise the County on issues related to pricing of debt issued, including interest rates, <br />underwriters' compensation and other key components. <br />- Assist the financial team in bringing finances to an expeditious closing. <br />And with all other issues as suggested by the County Administrator that are related to the successful <br />completion of the COPS financing process. <br />
