I~farion <br />Count~- agrees ~vith Courthouse Squaze, Inc., (CSI) to substitute Marion County far <br />CS1 in the contracc between CSI and Century West Engineering for work on the <br />Courchouse Square Project. Mazion County will accept responsibility for the <br />uutstanding bill in the amount of $79,261.92. Marion County understands that Century <br />West has been paid $22,724.16 for work done. If CSI has paid any portion of this <br />sum and has not been reimbursed by Marion County, the County will do so. Marion <br />County will contract directly with Century West ~ngineering, and will assume all <br />rights and responsibilities that CSI had toward Century West Engineering. Marion <br />Co~u1ry will release any and all claims that it may have against Mr. Berrey and CSI in <br />relationship to the Cencury West contract. Mr. Berrey and CSI will release Marion <br />Countv likewise. Marion County expects that CSI will forwazd all documents ii <br />posses. or cupies thereof, relating to che work of Century West Engineering on the <br />l:ourihuuse ~quare Project. i understand that you wiil prepaze a formal release. <br />Nl~riun Coumy ~vill agree to sign any reasonable form of release to confirm the <br />substance of ~his letter. <br />(f these tenns are acceptable, 1 would ask you to sign below. Marion County <br />will proceed to enter into an agreement with Century West. <br />I have two other points to mention, since we discussed tliem. First, i <br />understand that you expect Century West to release Nlr. Berry and CSI from any <br />responsibility for payment or any claims under the contract.
