ATTACHEMENT A- BACKGROLJND FOR CHASE MANHATTAN BANK
Chase Manhattan Corporation is the largest bank holding company in the U.S. Major subsidiaries
include The Chase Manhattan Bank and Chase Texas Bank, N.A. As of December 31, 1997 its
Total Assets exceeded $380 billion with Total Stockholder's Equity of over $21 billion. The
aggregate capital and surplus of Chase Manhattan Trust Company, National Association, is $100
million.
Chase prides itself in its commitment to understanding its customers, delivering integrated
solutions to meet their needs and nurturing relationships that broaden, deepen and endure.
Chase Manhattan Bank's Global Trust Services Division ("Chase") is the largest provider of
corporate trust services in the World. Chase's Global Trust Services Division ("Chase Corporate
Trust"), the business unit through which Chase conducts such services in the United States, has
the experience and expertise to serve as trustee, registrar, paying agent, escrow agerzt, and
investnient manager for a wide variety of taxable ar tax-exempt debt financings. It serves a
diverse national client base through an extensive national office network which is staffed by
expenenced corparate trust officers who use Chase's scope and resources to provide clients with
the highest level of reliable and cost-effective service.
The Promise behind the Chase brand evolved logically through its merger with Chemical Bank.
The combination gave us enormous scale, product scope and geographic reach, however we knew
these attributes would mean little if we didn't put them to work for the benefit of our customers.
Chase is committed to the trust business. While many of our competitars are deciding to exit the
corporate trust business, Chase views corporate trust as a strategic business that is instrumental in
providing our clients with a comprehensive range of products and services. We are committed to
expanding our leadership position and growing market share.
