DISCLOSURE AGENT FEE (If requested): $500.00 If requested, to provide annual reporting to the repositories, rating agency and underwriter(s) as required by Rule 15c2-12(b)(5), adopted by the Securities and Exchange Commission under the Securities Exchange Act of 1934. The fee is payable annually in advance, with the first payment due at closing. V. CUSTOMIZED SERVICES Billed Separately Customized services can be designed to meet the bonower's unique requirements. Additional fees will be assessed for non-standard services such as specialized reporting, arbitrage calculations, default administration, executing supplemental indentures, purchasing bonds for sinking funds, releasing collateral, canceling bonds surrendered by the obligor or upon early retirement of the issue. Fees will be assessed for excessive administrative time required to exercise fiduciary responsibilities and for other duties that may be mandated by future laws or regulatory agencies. Fees will be determined based on administrative time required, type of service, and degree of complexity involved. Billings more than thirty (30) days past due are subject to a 1.5% per month late fee The above Schedule of Fees is guaranteed for a period of three years from the date of bond closing, after which the fees will be reviewed annually, but not necessarily increased. Assumntions for Fees Quoted Above: • Book-Entry-Only issue; Fixed-rate, semi-annual payments to Holder; ~ No reserve fund contemplated; one construction draw per month; • Trustee to administer up to three (3) sub-accounts; • Does not include Forward Purchase Agreement or GIC; • Funds invested in standard investments andlor sweep vehicle. Note: If the financing requires the Trustee to take fee-title to the property, additional fees may be incurred to cover the cost of a site-inspection and other enviornmentally-related required expenses. All fees quoted in the Schedule of Fees and the acceptance of the fiduciary appointment are conditional upon a final review of the trust documents. If the structure of the proposed issue ehanges substantially from that described in the original RFP, Norwest Bank reserves the right to review its fees accordingly.
