II <br /> 10.4 Liens. Any party entitled to reimbursement under this Agreement shall <br /> have a lien on the property of the party who fails to reimburse such party that is subject to this <br /> Agreement. Such lien shall only be effective when filed for record by the party entitled to <br /> reimbursement as a claim of lien against the party who falls to reimburse such party in the <br /> Marion County, Oregon recorder's office, signed and acknowledged, which shall contain at <br /> least: (1) an itemized statement of all amounts due pursuant thereto; (2) a description <br /> sufficient for identification of the real property which is the subject of the lien; (3)the name <br /> of the party that owns the property which Is the subject of the lien; and (4) the name and <br /> address of the party claiming the lien. The lien,when so established against the real property <br /> described in the lien, shall be prior and superior to any right,title,interest, lien or claim which <br /> may be or has been acquired to such real property after thetime of filing the lien. The lien <br /> shall be for the use and benefit of the party claiming the lien and may be enforced and <br /> foreclosed in a suitor action brought in any court of competentjurisdicfion. <br /> 11. GENERAL PROVISIONS. <br /> 11.1 Amendment, Waiver, Indemnities. No provision of this Easement <br /> Agreement shall be deemed to have been waived unless such waiver is in writing signed by <br /> the waiving party. Otherwise, no modification or amendment of any provision of this <br /> Easement Agreement shall be binding on H.D.Aviation or kV Leasing unless signed by both <br /> H.D. Aviation and kV Leasing and recorded in the Marion County, Oregon real property <br /> records. Failure at any time to require performance of any provision of this Easement <br /> thr Agreement shall not limit H.D. Aviation's or kV Leasing's right to enforce the provision. <br /> Any waiver of any breach of any provision shall not be a waiver of any succeeding breach or <br /> a waiver of any provision of this Easement Agreement. <br /> 11.2 Final Agreement. This agreement supersedes and replaces all written <br /> and oral agreements previously made or existing with respect to the matters set forth herein. <br /> 11.3 Notices.
