AGREEMENT 1. GRANT OF EASEMENTS. For good and valuable consideration,the receipt of which is hereby acknowledged,H.D. Aviation hereby grants to kV Leasing, a perpetual, nonexclusive easement upon the thirty-foot wide H.R. Aviation Easement Area abutting the Property Line for the purpose of taxiing aircraft to and from the Airport public taxiway (that is, the 100-foot taxiway running east-west along the Northerly boundaries of the Parcel 2 Property and the kV Leasing Property). For good and valuable consideration, the receipt of which is hereby acknowledged, kV Leasing hereby grants to I-LD. Aviation, a perpetual, nonexclusive easement upon the thirty-foot wide kV Leasing Easement Area abutting the Property Line for the purpose of taxiing aircraft to and from the Airport public taxiway(that is, the 100-foot taxiway running east-west along the Northerly boundaries of the Parcel 2 1�. Property and the kV Leasing Property). Such 30-foot H.D.Aviation Easement Area and 30- foot kV Leasing Easement.Area are referred to collectively as the "Taxiway." Neither party shall have the right to obstruct the Taxiway. H.D. Aviation shall not construct or install any structure within the H.D. Aviation Easement Area. kV Leasing shall not construct or install any structure within the kV Leasing Easement Area. Each party shall have the right, at its expense, to install, repair and replace underground public and private utility lines within the H.D.Aviation Easement Area and the kV Leasing Easement Area. Each party shall have the [' right to install,repair and replace underground connections to public utilities within the H.D. j Aviation Easement Area and the kV Leasing Easement Area. Each party shall have the right { - - to install, repair and replace underground connections to private utilities installed by such mil/ party within the H.D. Aviation Easement Area and the kV Leasing Easement Area, Neither 1. party shall have the right to connect to private utility lines installed by the other party. Each party shall conduct its activities and complete any construction in such a way as to not unreasonably interfere with the other's use of the Taxiway and shall, at its expense, restore any damage to the surface caused by its activities under this.paragraph. Such utilities may benefit other property in addition to the Parcel 2 Property or the kV Leasing Property; however,neither party shall have the right to disturb the surface for the purpose of installing a private utility that benefits only such other property, 2. IMPROVEMENTS . Any paving and drainage improvements to the Taxiway shall be constructed in accordance with the plans and specifications described on the attached Exhibit E. Unless otherwise agreed the parties shall each develop at their own expense the portion of the Taxiway on their respective properties In accordance with such standards. Each shall use Centex Company or Brian Clopton Excavating Inc.(collectively"Contractor") as the general contractor for the improvements. In the event Contractor is unable or unwilling to serve as general contractor, the parties shall obtain bids for the improvements from at least three (3) qualified contractors. Unless the parties agree otherwise,the parties shall select the contractor with the lowest responsive bid and the parties shall enter into contracts with such contractor based on the contractor's bid.
