4.5 Indemnification of Members <br /> The Company shall indemnify each of its Members to the fullest extent permissible <br /> under the Act. The satisfaction of any indemnification obligation shall be from, and limited to, <br /> Company assets, and the Members shall not have any personal liability on account thereof. A <br /> Member shall not be personally liable for any debt, obligation, or liability of the Company <br /> merely by reason of being a Member. No Member shall have any personal liability for any <br /> Company obligations, expense, or liability, other than to make the Member's capital <br /> contribution specified in this Agreement or in any subscription agreement between the Member <br /> and the Company. <br /> 4.6 Dealing with the Company <br /> A Member may deal with the Company by providing or receiving property and services <br /> to or from it, and may receive from others or the Company normal profits, compensation, <br /> commissions or other income incident to such dealing on terms unanimously approved by the <br /> Members. <br /> 5. Members <br /> 5.1 Meetings of Members <br /> A meeting of the Members for any purpose or purposes, unless otherwise prescribed by <br /> the Act, may be called by a Member or Members holding an aggregate Ownership Interest of at <br /> least twenty five percent(25%). Notwithstanding any other provision of this Agreement, if all of <br /> the Members shall hold a meeting at any time and place,such meeting shall be valid without call <br /> or notice,and any lawful action taken at such meeting shall be the action of the Members. <br /> 5.2 Quorum <br /> The presence, in person or by proxy,of Members whose Ownership Interests total more <br /> than fifty percent(50%)shall constitute a quorum at a meeting of Members. <br /> 5.3 Proxies <br /> A Member may be represented at a meeting of the Members in person or by written ' <br /> proxy. <br /> 5.4 Action Without Meeting <br /> Any action required or permitted to be taken by the Members at a meeting may be <br /> taken without a meeting if a consent in writing, describing the action taken, is signed by a <br /> Majority of the Members and is included in the minutes or filed with the Company's records of <br /> meetings.
