Date:August 24,2022 <br /> Via Email To: idanhadetroitLagmail.com <br /> Via First Class Mail To: <br /> Fred Patterson, Fire Chief <br /> Idanha-Detroit Rural Fire Protection District <br /> PO Box 339 <br /> Idanha,OR 97350 <br /> RE: Letter of Intent to Donate <br /> Mr. Patterson: <br /> The purpose of this Letter of Intent (herein "LOI") is to outline the manner in which, Marion <br /> Forks Investment, Inc., an Oregon corporation (the "Donor' or "MFI") proposes to donate a portion of <br /> its property located at 1556 Highway 22 SE, in Idanha, Oregon, (the "Property") to Idanha-Detroit Rural <br /> Fire Protection District(the "Recipient" or"IDRFPD"),jointly the "Parties" or severally a "Party". Donor <br /> and Recipient recognize that this transaction will require further entitlement work, documentation, and <br /> approvals, including the preparation and approval of a formal agreement setting forth the terms and <br /> conditions of the proposed donation in more detail (the "Donation Agreement"); but they execute this <br /> LOI to evidence their intention to proceed in mutual good faith to carry out the transaction substantially <br /> in the manner outlined herein. The proposed terms and conditions,include, but are not limited to, the <br /> following: <br /> 1. Property <br /> Following the partition of the Property and recording of the partition plat, MFI will donate an <br /> approximate two and one-half(2.5) acre portion of the Property referenced above, said portion being <br /> located South of Highway 22 SE, West of Blowout Road, and North of the North Santiam River (the <br /> "Donation Parcel"),as depicted on Exhibit Al and A2 (attached),to IDRFPD. The Donation Property will <br /> be donated to IDRFPD free and clear of encumbrances, except those specifically taken subject to or <br /> assumed in writing.by IDRFPD. MFI will retain the remnant parcel of approximately 42.11 Acres (the <br /> "Remnant Parcel"). <br /> 2. Use <br /> The Recipient acknowledges that the Donated Parcel will be conveyed with a restrictive <br /> covenant that requires IDRFPD to use the property in, and only for, the development of a future fire <br /> station site, and for no other purposes without the written consent of MFI, which consent may be <br /> withheld,or conditioned at the sole discretion of MFI. <br /> LETTER OF INTENT(MFI/IDRFPD) 1 <br /> 41969-00001 08/24/2022 (MDS:hst) <br /> 4891-0358-1230,v.3 <br />
